TERMS OF SERVICE

Welcome to HirePinoy. These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you" or "Client"), and HirePinoy("we," "us," or "our"), concerning your access to and use of the hirepinoy.ph website (the "Site").
1. THE SERVICES
HirePinoy provides a talent marketplace and vetting service that connects Clients with independent professionals in the Philippines ("Talent"). Our services include, but are not limited to, sourcing, screening, and providing "vibe-check" summaries of Candidates.
2. NO RETURNS AND REFUNDS
Due to the nature of our digital services and the immediate incurrence of costs related to talent vetting, all service fees paid to HirePinoy are non-refundable.
Placement Guarantee: While we do not offer refunds, we provide a 30-Day Replacement Guarantee. If a Candidate hired through our Platform leaves or is terminated for cause within the first thirty (30) days of engagement, we will provide a new shortlist of vetted Candidates at no additional cost.
3. CANCELLATION POLICY
Users may cancel their subscription at any time. To avoid being charged for the next billing cycle, cancellation must be submitted at least twenty-four (24) hours prior to the renewal date.

4. NON-CIRCUMVENTION (PROTECTING OUR REVENUE)
Users acknowledge that HirePinoy invests significant resources in sourcing and vetting Talent.
The Restriction:
For a period of twenty-four (24) months following the initial introduction of a Candidate through the Platform, the Client shall not hire, engage, or contract with said Candidate through any channel other than HirePinoy.
Circumvention Fee:
If a Client bypasses the Platform to hire a Candidate, the Client agrees to pay HirePinoy a liquidated damages fee equal to $2,500.00 or 20% of the Candidate's first-year total compensation, whichever is greater.
5. "VIBE-CHECK" & VETTING DISCLAIMER
The "vibe-check" and vetting summaries are subjective professional opinions based on information provided by the Candidate.
- We do not guarantee the accuracy of Candidate information
- We do not guarantee the Candidate's future performance
- The final decision to hire rests solely with the Client
We strongly encourage Clients to perform their own due diligence, background checks, and identity verification.
6. INTELLECTUAL PROPERTY & WORK-FOR-HIRE
All work product created by a Candidate for a Client shall be deemed a "Work-Made-for-Hire" under applicable law. Upon full payment of agreed fees, all rights and ownership of the work shall transfer exclusively to the Client. HirePinoy claims no ownership over the work produced by Talent for Clients.
7. COMPLIANCE WITH PHILIPPINE LAWS
Independent Contractor Status
Unless otherwise agreed in writing, relationships initiated via HirePinoy are presumed to be Independent Contractor relationships.
Labor Code
Clients are solely responsible for determining the correct legal classification of their hires. If a Client's management of the Talent creates an "Employer-Employee" relationship under the Philippine Labor Code, the Client is responsible for all mandatory benefits (SSS, PhilHealth, Pag-IBIG, and 13th-month pay).
Data Privacy
All parties agree to comply with the Philippine Data Privacy Act of 2012 (RA 10173) regarding the handling of Candidate personal data.
8. PROHIBITED ACTIVITIES
Users are prohibited from:
- Using the service to advertise unrelated goods/services
- Selling or transferring their HirePinoy profile
- Bypassing platform payment systems
- Posting fraudulent job opportunities or requesting "placement fees" from Candidates
9. LIMITATION OF LIABILITY
To the maximum extent permitted by law, HirePinoy's total liability for any claim arising out of these Terms shall be limited to the lesser of:
- The total fees paid by the Client to HirePinoy in the twelve (12) months preceding the claim; or
- $2,500.00 USD
We shall not be liable for any indirect, consequential, or "lost profit" damages. All claims must be initiated within one (1) year of the event giving rise to the claim.
10. DISPUTE RESOLUTION
Informal Negotiations
Parties agree to attempt to resolve any dispute informally for at least thirty (30) days before initiating arbitration.
Binding Arbitration
If unresolved, the dispute shall be settled by a Sole Arbitrator in Metro Manila, Philippines, conducted in English.
Governing Law
These Terms are governed by the laws of the Republic of the Philippines.
11. MODIFICATIONS
We reserve the right to update these Terms at any time. We will notify you of material changes via Email or a Dashboard Banner. Continued use of the Platform after such changes constitutes acceptance of the new Terms.
